Lafarge Cement Zimbabwe is looking for a Company Secretary to join its Corporate team
What the job entails
- Provide secretarial services to the Board, Shareholders and Committee meetings including convening the meetings, preparing of agenda and papers.
- Drafting of Board meeting and Sub committee meeting minutes and ensuring appropriate review and sign offs
- Drafting resolutions and ensuring appropriate approval processes are followed in line with the company's governance framework
- Effectively coordinating the training and Induction of new Board members.
- Provide the Board and its committees with all requisite information and support to effectively discharge their duties.
- Provide sound legal advice to the Board, management and staff on matters of corporate law and ethics in compliance with good corporate governance principles.
- Coordinate the preparation and publication of all prescribed reports in line with ZSE rules and the Companies Act of Zimbabwe
- Ensure, where applicable, the standards and/or disclosures required by law are observed by the Board
- Ensure that a sound corporate governance framework is in place in line with Group standards, country regulations and listing requirements
- Ensure timely communication, implementation and tracking of Board resolutions and recommendations.
- Check for changes in the annual company statutory structure requirements from prior year and action the changes.
Qualifications and Skills Requirements
- Must have a relevant Bachelor of Laws (BL) degree, Bachelor of Laws (LLB) Degree or equivalent.
- A postgraduate qualification such as full Chartered Institute of Secretaries (CLS) or any other equivalent/ relevant qualifications is preferred.
- A Master of Business Administration or Masters in Business Leadership degree is an added advantage.
- At least 8 years hands-on legal experience is required of which 5 years should have been at senior level, preferably handling corporate secretarial matters.
- Must be a member of the law society of Zimbabwe.
Technical skills
- Demonstrable understanding of the company laws and ZSE regulations
- Sound knowledge and exposure to Board operations.
